Terms of Service

These Terms of Service govern how RiGEL is provided to advisors, enterprises, organizations, and Indigenous governance offices. They are written for legal, compliance, and risk teams, as well as the operators who use RiGEL day-to-day.

1. Eligibility & accounts

  • The Service is provided to professional users (such as advisors, firms, and organizations) for business use.
  • You must be legally able to enter into contracts on behalf of yourself or your organization.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

If you become aware of any unauthorized access to your account, you must notify us promptly.

2. Use of the Service

You agree to:

  • Use the Service only in accordance with applicable laws and regulations
  • Provide accurate information and keep your account details up-to-date
  • Respect all technical and organizational security controls within the platform
  • Use the Service only for lawful estate planning, tax compliance, and related workflows

You agree not to:

  • Attempt to reverse engineer, decompile, or otherwise derive source code
  • Circumvent security or access controls
  • Use the Service to store or transmit malicious code
  • Misuse the Service in a way that disrupts or harms other users or our infrastructure

3. Subscriptions, trials, and fees

Access to the Service may be provided through pilots, paid subscriptions, or enterprise agreements. The specific features, fees, and term length are described in your order form or subscription plan.

  • Fees are typically billed in advance and are non-refundable unless required by law or explicitly stated otherwise.
  • We may modify pricing or plan structure for future terms by providing advance notice.
  • If payment is not received when due, we may suspend or limit access to the Service.

Where there is a signed master agreement or order form, that document will govern to the extent of any conflict with these Terms.

4. Customer content & data

4.1 Ownership

You (or your organization) retain all rights, title, and interest in and to estate, tax, and scenario data uploaded or entered into the Service ("Customer Content").

4.2 License to RiGEL

You grant RiGEL a non-exclusive, worldwide license to host, process, and use Customer Content solely to:

  • Provide and operate the Service
  • Generate calculations, reports, and traces as requested
  • Maintain security, reliability, and auditability
  • Comply with legal or regulatory obligations

We do not claim ownership of Customer Content.

4.3 Aggregated & de-identified data

We may use aggregated or de-identified data derived from Customer Content to improve the Service, develop analytics, and enhance our compliance engine. Such data will not identify you or your clients.

5. No legal, tax, or accounting advice

RiGEL is a deterministic calculation and documentation tool. It does not provide legal, tax, accounting, or financial advice.

  • You are responsible for reviewing outputs, traces, and scenarios before relying on them.
  • You remain solely responsible for advice and decisions you provide to your clients, as well as for your own regulatory obligations.
  • Use of the Service does not create a professional-client or fiduciary relationship between RiGEL and your clients.

You should consult qualified professionals and relevant authorities when making legal or tax decisions.

6. Confidentiality & security

We will maintain appropriate administrative, technical, and physical safeguards designed to protect Customer Content against unauthorized access, use, or disclosure, as described in our Privacy Policy and security documentation.

We will not access Customer Content except:

  • To provide the Service and support
  • To address security, operational, or technical issues
  • As required by law or as expressly permitted by you

7. Intellectual property

RiGEL and its licensors own all rights, title, and interest in and to the Service, including software, documentation, interfaces, and underlying models, excluding Customer Content.

You may not:

  • Remove or alter proprietary notices
  • Use RiGEL's trademarks, names, or logos without prior written permission
  • Create a competing service using proprietary information obtained through the Service

8. Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant RiGEL a worldwide, perpetual, irrevocable, royalty-free license to use that Feedback without restriction. We are not obligated to implement any Feedback.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, RiGEL disclaims all warranties and conditions, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be error-free or uninterrupted
  • All regulatory interpretations or legislative references will remain current at all times
  • The Service will meet every unique requirement of a particular jurisdiction or use case

10. Limitation of liability

To the maximum extent permitted by law:

  • RiGEL's total liability arising out of or related to the Service or these Terms is limited to the fees paid to RiGEL for the Service in the twelve (12) months preceding the event giving rise to the claim.
  • RiGEL will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, or data, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless RiGEL and its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:

  • Your misuse of the Service
  • Your violation of these Terms
  • Any claim relating to Customer Content or services you provide to your own clients

12. Term, suspension & termination

These Terms apply for as long as you access or use the Service.

We may suspend or terminate access if:

  • You materially breach these Terms and do not cure the breach within a reasonable period after notice
  • You fail to pay applicable fees
  • We are required to do so by law or regulatory authority

Upon termination:

  • Your right to access the Service will cease
  • We will handle Customer Content in accordance with our data retention practices and any applicable agreement
  • Certain sections (including those on confidentiality, IP, limitation of liability, and indemnification) will continue to apply

13. Governing law

Unless otherwise specified in a signed agreement, these Terms are governed by the laws of the Province of British Columbia and the laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes will be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.

14. Changes to these Terms

We may update these Terms to reflect changes to our Service or legal requirements. When we do, we will update the "Last updated" date and, where required, provide additional notice.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
